AB Dynamics acquires US testing specialist eMpulse for initial £8.1m

AB Dynamics PLC ( AIM:ABDP ) has acquired US-based automotive testing specialist eMpulse Test Systems for an initial cash consideration of $11.0 million (£8.1 million). The acquisition has been funded from existing cash resources on a cash-free and debt-free basis, with an additional working capital adjustment payment of approximately $1.8 million (£1.4 million) expected following completion. Under the terms of the agreement, contingent consideration of up to $15.0 million will be payable in cash across three tranches over the three years following completion, subject to meeting specific performance criteria. Based in Zeeland, Michigan, eMpulse designs and supplies advanced servoelectric test systems to the global automotive industry for noise, vibration, and harshness (NVH), structural, and durability testing. The board expects the transaction to be earnings-enhancing for the group in the financial year 2027, with commercial benefits increasing thereafter as sales synergies are delivered. AB Dynamics plans to cross-sell eMpulse laboratory testing equipment across its global sales infrastructure and accelerate product adoption in geographic markets where eMpulse had limited direct presence, including Japan. The acquired product portfolio is designed to complement AB Dynamics' existing servoelectric laboratory equipment, specifically its Suspension Parameter Measurement Machine (SPMM).
