Frasers Group PLC ( LSE:FRAS ) View Price & Profile Frasers Group stake in Hugo Boss reaches 47.89% as tender offer closes Published: 07:38 18 Aug 2026 BST Frasers Group PLC (LSE:FRAS) , the British retail group, has built its ownership in Hugo Boss, the German fashion business, to 47.89% following the conclusion of its takeover offer. The company confirmed that it secured valid acceptances for 12,157,598 ordinary shares in the luxury fashion brand by the close of the transaction period. These tendered shares correspond to approximately 17.62% of the total issued share capital and voting rights of Hugo Boss. When combined with its existing direct shareholding, the successful acceptances lift the total holding of Frasers Group to 33,054,959 ordinary registered shares. The resulting stake establishes control over 47.89% of the overall share capital and voting rights in the German company. Frasers Group originally announced its formal decision to launch a voluntary public takeover offer for the brand on 10 June 2026. The voluntary offer sought to acquire all ordinary no-par value registered shares in Hugo Boss that were not already held directly by the retail group. The official offer document setting out the parameters and terms of the takeover bid was published on 25 June 2026.
