Carrier Connect Data Solutions Inc. is pleased to announce that it has completed its previously announced acquisition of a data center and related assets from Rochester Colo, LLC, a leading provider of colocation services in upstate New York.
In connection with the Acquisition, the Company, along with its wholly owned subsidiary PureColo Inc., entered into an asset purchase agreement with Rochester Colo. Pursuant to the terms of the Asset Purchase Agreement, the Subsidiary or an affiliate of the Subsidiary acquired the Assets. In consideration for the Acquisition, the Company issued 800,000 common shares in the capital of the Company, and the Subsidiary paid or caused to be paid $250,000 in cash (of which $25,000 had previously been paid as a deposit), each to Rochester Colo. The Consideration Shares were escrowed and will be released in four equal tranches at 6, 12, 18 and 24 months following August 4, 2026.
The Acquisition is an arm’s length transaction. No finder’s fees have been paid by either the Company or Rochester Colo in connection with the Acquisition.

The Company announces that it has granted an aggregate 60,000 incentive stock options to certain directors, officers, employees and consultants of the Company in accordance with its stock option plan. The Options are exercisable at a price of $1.12 until August 4, 2036 of which 15,000 vest a t six months following the date of grant, 15,000 vest at twelve months following the date of grant, 15,000 vest at eighteen months following the date of grant, and 15,000 vest at twenty four months following the date of grant, all subject to applicable hold periods.
Carrier’s mission is to roll up Tier II/III data centers internationally that specialize in delivering co-location and data center solutions to AI companies, service providers, enterprises and small businesses. Data centers are the physical locations that store computing machines and their related hardware equipment, such as servers, data storage drives, and network equipment. As a carrier-neutral organization, Carrier’s systems are fully independent and owned outright within its leased space. The current principal markets for the Company are Vancouver, Ottawa and Saint John, Canada, Rochester, New York and Perth, Australia, where it serves clients who use its facilities either as their primary data center or as an ancillary site depending on their needs.
