Herbal Dispatch Announces Vesting of RSUs and Satisfaction of Certain Outstanding Fees

Herbal Dispatch Inc. (CSE: HERB) (OTCQB: LUFFF) (FSE: HA9) is providing this update in furtherance to its news release dated January 2, 2026, whereby it announced the granting in aggregate of 2,760,000 restricted share units ("RSUs").

The RSUs which were granted to certain officers, directors, employees, and consultants of the Company pursuant to the Company's amended and restated stock option plan and restricted share unit plan dated effective October 16, 2020 (the "Plan"), are to vest in three equal installments on July 1, 2026, January 1, 2027, and July 1, 2027, respectively, and are to remain valid so long as the individual continues to be an "Eligible Person" as such term is defined in the Plan.

Following the completion of the first vesting period on July 1, 2026, the Company has caused the issuance in aggregate of 920,000 common shares.

In addition to the foregoing, the Company has also caused the issuance of 1,430,705 common shares in satisfaction of certain outstanding debt obligations of the Company.

Each common share in this regard has a deemed issuance price of CAD$0.05.

The securities issued in satisfaction of the debt obligations are subject to a statutory hold period of four months and one day from the date of issuance pursuant to applicable Canadian securities laws.
