According to the report, Oracle sent the notice to the project's developer, a unit of Blue Owl Capital, seeking to delay payments if the data center fails to come online in 2028 as planned. Companies typically invoke force majeure clauses to address contractual obligations when problems beyond their control disrupt a project or agreement. The data center, known as Project Jupiter, is being built in Doña Ana County, New Mexico, and has faced opposition and regulatory setbacks. CNBC reported that the data center is part of the broader Stargate artificial intelligence (AI) infrastructure project backed by OpenAI , Oracle and SoftBank, with construction facing regulatory challenges and local opposition. The project has drawn criticism from residents and environmental groups over issues including water use, air quality and the impact of the large-scale facility on surrounding communities. Yahoo Finance reported that Oracle is not seeking to abandon its role as the main tenant at Project Jupiter, but is instead seeking to delay payments if the data center is delayed and fails to begin operations in 2028 as planned. A force majeure provision is a contractual mechanism that can address obligations affected by events beyond a party's control, although it remains unclear whether Oracle could use the provision to avoid previously agreed financial commitments.
